By accessing and using Adams AI ("Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms constitute the entire agreement between you and Adams AI, Inc.

Adams AI is a SaaS platform providing analytics, reporting, and AI-powered insights for digital marketing campaigns across multiple advertising platforms (Meta, Google Ads, TikTok, LinkedIn).

đ 3. Account Responsibility
Account Creation
You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate information and notify us immediately of any unauthorized access. You are liable for all activities occurring under your account.
Workspace Management
You are responsible for who you invite to your workspace and for the advertising accounts you connect. Only connect accounts where you have the authority to grant access. You warrant that you have all necessary permissions from account owners.
Account Security
Implement strong passwords, use two-factor authentication (MFA), and monitor account activity. Do not share credentials with unauthorized persons. We implement industry-standard security but cannot guarantee against all unauthorized access.

You agree NOT to:
Violate Laws
Use the Service for any unlawful purpose or violation of regulations in your jurisdiction.
Security Violations
Attempt to bypass security measures, reverse-engineer, or hack the platform. Do not access accounts you don't own or have permission for.
Scraping & Abuse
Do not scrape, spider, or extract data from the platform. Do not spam, harass, or abuse other users.
Misuse of Data
Do not export or share account data in violation of third-party platform terms or user privacy. Do not use data for discriminatory or fraudulent purposes.
Malicious Content
Do not upload, transmit, or distribute malware, viruses, or malicious code.
đ 5. Third-Party Integrations
The Service integrates with third-party platforms including Meta, Google, TikTok, and LinkedIn. Your use of these integrations is governed by:
Their Terms & Policies
You must comply with each platform's Terms of Service, API terms, and data usage policies. Adams AI is not responsible for changes to their APIs, outages, rate limiting, or policy changes.
Account Authorization
When you authorize a platform connection, you grant Adams AI access to specific data on your behalf. You can revoke access at any time through the platform's settings or our platform.
Liability Disclaimer
Adams AI is not liable for third-party service interruptions, API changes, data loss at third-party platforms, or their failure to provide services.

Our IP Rights
Adams AI retains all rights to the platform, its code, design, documentation, algorithms, and features. You receive a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
Your Content
You retain ownership of your data and campaign information. By using the Service, you grant Adams AI a license to process, analyze, and display your data solely to provide analytics and insights. We will not sell or commercially exploit your data.
Restrictions
You may not: reverse engineer, decompile, copy, modify, or create derivative works. You may not license, sublicense, or resell the Service.

Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Accuracy of Data
While we strive for accuracy, Adams AI does not warrant that data is error-free or that insights are 100% accurate. Data depends on third-party platform APIs which may have delays or inaccuracies.
Uptime & Availability
We target 99.99% uptime but do not guarantee uninterrupted service. We are not liable for downtime due to maintenance, security issues, or third-party failures.
đ 8. Limitation of Liability
Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS, OR $100 IF NO PAYMENT WAS MADE.
Excluded Damages
We are not liable for indirect, incidental, special, consequential, or punitive damages including lost profits, data loss, business interruption, or cost of substitute services.
Your Remedy
Your sole remedy for dissatisfaction with the Service is to terminate your account. Some jurisdictions do not allow liability limitations; in those cases applicable law will apply.

Termination by You
You may terminate your account at any time through account settings. Upon termination, your data will be retained per our Data Retention Policy and Privacy Policy.
Termination by Us
We may terminate or suspend your account immediately if: (1) you violate these Terms, (2) we are required by law, (3) your account is inactive for 12+ months, or (4) you engage in fraud or illegal activity. We will attempt to notify you when possible.
Effect of Termination
Upon termination, your access ceases immediately. Sections regarding liability, indemnification, and confidentiality survive termination.
đ 10. Changes to Terms
We may update these Terms at any time. Material changes will be communicated via email or platform notification. Your continued use after notice constitutes acceptance of updated Terms. We will maintain a version history of significant changes.
âī¸ 11. Governing Law & Disputes
Governing Law
These Terms are governed by California law, without regard to conflicts of law. Any legal action or proceeding shall be brought exclusively in courts located in San Francisco, California.

đ 12. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and Adams AI.
Severability: If any provision is unenforceable, the remaining provisions continue in effect.
No Waiver: Failure to enforce any right does not constitute waiver of that right.
Assignment: You may not assign these Terms. Adams AI may assign these Terms upon notice.
Indemnification: You agree to indemnify and hold Adams AI harmless from claims arising from your use of the Service or violation of these Terms.
